Terms of Service

These Terms of Service ("Terms") govern your access to and use of the programmatic advertising platform and website operated by PeakAds LLP ("PeakAds", "we", "us"), trading as PeakMyAds, with its registered office at Kharadi, Pune 411014, Maharashtra, India. By accessing our platform or entering into an insertion order or agreement with us, you ("you", the "Client") agree to these Terms.

1. Eligibility and acceptance

Our platform is provided for business use only. By using it, you represent that you are a business entity (or acting on behalf of one), that you are authorised to enter into these Terms, and that you and the individual accepting them are at least 18 years of age.

3. Accounts and onboarding

You agree to provide accurate, current and complete information during onboarding and to keep it updated. You are responsible for safeguarding your account credentials and for all activity under your account. We may verify your identity, business and supply or demand sources before or during your use of the platform.

4. Acceptable use

You must not use the platform to transmit or facilitate any content or activity that is unlawful, infringing, deceptive, or harmful. Prohibited activity includes, without limitation: malware or malicious code; cloaked, misleading or auto-redirecting ads; infringement of intellectual property; illegal, adult or otherwise prohibited content; and any attempt to circumvent our fraud-detection or brand-safety controls.

5. Inventory quality and ads.txt / app-ads.txt

Publishers must hold all rights necessary to offer their inventory and must maintain accurate ads.txt and app-ads.txt files declaring their authorised sellers. Misrepresenting the source, nature or quality of inventory — including domain spoofing or misdeclared placements — is strictly prohibited.

6. Invalid traffic and fraud

We monitor for invalid traffic ("IVT") and ad fraud consistent with prevailing industry standards. We will not pay for, and may withhold or claw back amounts attributable to, traffic identified as invalid or fraudulent. We may suspend or terminate access where fraud, IVT or material breach is detected.

7. Brand safety

Advertisers and publishers must comply with applicable brand-safety and content standards. We may apply controls, filters and exclusions, but you remain responsible for the content you supply and the inventory you offer.

8. Fees and payment

Fees, rates and payment terms are set out in the applicable insertion order, partner agreement or platform schedule. Unless stated otherwise, invoices are payable on net terms, exclusive of applicable taxes, and in the agreed currency. Late or unpaid amounts may accrue interest and may result in suspension of the service.

9. Data

Each party retains ownership of the data it provides. You grant us a limited licence to process such data solely to operate and improve the service. Each party will comply with applicable data-protection laws and, in our case, with our Privacy Policy.

10. Intellectual property and confidentiality

We retain all rights in the platform, our software, trademarks and documentation. Each party will protect the other's confidential information and use it only as needed to perform under these Terms.

11. No guarantee of results

We do not guarantee any specific fill rate, delivery volume, revenue, impression count or campaign performance. Programmatic outcomes depend on factors outside our control, including market demand, supply availability and third-party systems.

12. Warranties and disclaimer

Except as expressly stated, the platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our aggregate liability arising out of or relating to these Terms will not exceed the total fees paid or payable by you to us in the three (3) months preceding the event giving rise to the claim.

14. Indemnification

Each party will indemnify and hold the other harmless from third-party claims arising out of its content, its breach of these Terms, or its violation of applicable law.

15. Term and termination

These Terms apply for as long as you use the platform. Either party may terminate in accordance with the applicable agreement or for material breach. Provisions that by their nature should survive termination — including fees due, confidentiality, IP, disclaimers, liability limits and indemnities — will survive.

16. Governing law and dispute resolution

These Terms are governed by the laws of India. The courts at Pune, Maharashtra will have exclusive jurisdiction over any dispute, subject to any agreement to resolve disputes by arbitration seated in Pune under the Arbitration and Conciliation Act, 1996.

17. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above, and your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
